As Legal Counsel, you will play a key role in supporting investments, corporate governance and fund structuring activities across multiple regions. You’ll be reporting to the Senior Legal Counsel (Europe & Asia) and collaborating with a multicultural, global team while being based in Chennai (preferred), Mumbai, or Delhi. Remote working flexibility is available.
Key Responsibilities
Investments (Private Equity & Debt) 60%
- Structure, draft, review, and negotiate legal documentation for private debt transactions (~40%).
- Support private equity deals (~20%), including shareholder agreements, investment/divestment documentation, and negotiations.
- Provide both pre- and post-transaction legal support while partnering with investment managers.
Corporate Governance & Legal Housekeeping 30%
- Manage board meetings, corporate documentation, and governance requirements.
- Stay updated on new legislations/regulations and ensure timely implementation.
- Coordinate with external counsel for corporate compliance matters.
Fund Development & Investor Relations 10%
- Support the structuring and documentation of new funds and facilities.
- Draft and review investor onboarding documents.
- Liaise with regulators for approvals related to funds and facilities.
What Were Looking For
- Master of Laws (LL.M or equivalent) from a reputed university with strong academic credentials.
- 1 to 3 years of experience in corporate law, banking & finance, investment funds, or M&A (law firm or in-house).
- Exposure to international and multicultural work environments is highly desirable.
- Strong negotiation skills, ability to prioritize, and a proactive problem-solver with business acumen.
- Not just a yes person someone who can partner with the business, make decisions, and offer practical legal solutions.
- Excellent written and spoken English (additional languages such as French are a plus).
- Familiarity with European work culture is an advantage.
